This Nuveda AI Suspension & Termination Policy (“Termination Policy”) establishes the circumstances, procedures, and consequences applicable to suspension, restriction, resignation, and termination under the Nuveda AI Business Advisor Program.
This Termination Policy forms part of and is incorporated into the Nuveda AI Business Advisor Agreement (“Business Advisor Agreement”).
No separate signature or separate electronic acceptance of this Policy is required. An Advisor accepts this Policy by electronically accepting the Business Advisor Agreement.
1. Purpose
The purpose of this Policy is to protect:
- Nuveda AI;
- Nuveda AI customers;
- prospective customers;
- Business Advisors;
- confidential information;
- customer data;
- Nuveda AI systems;
- Nuveda AI intellectual property;
- the integrity of the Business Advisor Program;
- the accuracy of commission administration; and
- the reputation and lawful operation of Nuveda AI.
This Policy establishes different procedures for:
- temporary suspension;
- administrative restrictions;
- inactivity-related termination;
- voluntary resignation;
- ordinary business termination;
- termination for material breach;
- termination for serious misconduct; and
- conduct that may constitute malfeasance under applicable law.
These categories are not automatically interchangeable.
2. Nuveda AI's Right to Protect the Program
Subject to the Business Advisor Agreement and applicable law, Nuveda AI may take reasonable action when it determines that an Advisor's continued unrestricted participation may create a material:
- legal risk;
- security risk;
- customer risk;
- privacy risk;
- compliance risk;
- financial risk;
- reputational risk;
- fraud risk; or
- operational risk.
Available actions may include:
- warnings;
- required corrective action;
- additional training;
- restriction of privileges;
- temporary suspension;
- removal from particular opportunities;
- customer reassignment;
- lead restrictions;
- account restrictions;
- recertification;
- termination; or
- other reasonable measures.
3. Suspension Is Different from Termination
“Suspension” means a temporary restriction of some or all Business Advisor privileges while the Advisor relationship remains subject to review or corrective action.
Suspension does not necessarily mean:
- that misconduct has been proven;
- that the Advisor has been terminated;
- that commissions have been forfeited; or
- that Nuveda AI has reached a final determination.
Nuveda AI may use suspension where immediate restriction is reasonably appropriate while facts are investigated.
4. Grounds for Temporary Suspension
Nuveda AI may temporarily suspend an Advisor where there is a reasonable basis to investigate or address:
- suspected fraud;
- suspected identity fraud;
- commission manipulation;
- fabricated customers;
- fabricated leads;
- unauthorized customer-data access;
- security incidents;
- credential compromise;
- significant customer complaints;
- unauthorized representations;
- unauthorized earnings claims;
- misleading advertising;
- misuse of Nuveda AI branding;
- suspected bribery or corruption;
- harassment or threats;
- confidentiality concerns;
- misuse of proprietary information;
- legal or regulatory concerns;
- failure to complete mandatory compliance requirements;
- suspected violation of Program policies; or
- other circumstances reasonably requiring immediate protective action.
5. Immediate Suspension
Nuveda AI may suspend an Advisor without advance notice when immediate action is reasonably necessary to protect:
- customers;
- systems;
- data;
- financial accounts;
- confidential information;
- Nuveda AI intellectual property;
- other Advisors;
- employees or contractors;
- legal compliance; or
- the integrity of the Business Advisor Program.
Where appropriate, Nuveda AI should provide notice after the suspension is implemented.
6. Possible Suspension Restrictions
During suspension, Nuveda AI may temporarily restrict or disable:
- Advisor Center access;
- CRM access;
- customer records;
- prospect records;
- new lead registration;
- new lead assignment;
- opportunity attribution;
- sales-system access;
- internal communications;
- Nuveda AI email or aliases;
- certification credentials;
- use of Advisor badges;
- use of Nuveda AI marketing assets;
- participation in customer meetings;
- access to confidential information; or
- other Program privileges.
Nuveda AI should limit restrictions to those reasonably related to the circumstances where practicable.
7. Commissions During Suspension
Suspension does not automatically eliminate commissions already legally earned.
Nuveda AI may place affected pending commissions on temporary administrative hold where reasonably necessary to investigate:
- fraud;
- attribution;
- chargebacks;
- customer legitimacy;
- identity;
- transaction validity;
- commission manipulation; or
- related issues.
An investigative hold does not itself establish that the Advisor is not entitled to the commission.
Earned commissions will be administered according to:
- the Business Advisor Agreement;
- Commission & Customer Attribution Policy;
- applicable adjustments; and
- applicable law.
8. Investigation
Nuveda AI may conduct a reasonable investigation into suspected violations.
An investigation may include review of:
- CRM records;
- account logs;
- customer communications;
- payment records;
- lead records;
- system logs;
- Advisor Center activity;
- identity-verification records;
- marketing materials;
- social-media content;
- customer complaints;
- communications with other Advisors;
- FDE records;
- internal records; and
- other relevant evidence.
9. Advisor Cooperation
An Advisor must reasonably cooperate with legitimate Nuveda AI investigations.
This may include providing:
- explanations;
- relevant communications;
- supporting documentation;
- customer information already lawfully held by the Advisor;
- lead documentation;
- transaction information; or
- other reasonably relevant materials.
The Advisor is not required to waive legal rights that cannot lawfully be waived.
10. Failure to Cooperate
An Advisor's unreasonable refusal to cooperate with a legitimate investigation may itself constitute a Program violation where the requested cooperation is:
- relevant;
- reasonable;
- lawful; and
- within the Advisor's ability to provide.
Failure to cooperate may result in continued suspension or termination where appropriate.
11. Corrective Action
For violations that do not justify immediate termination, Nuveda AI may require corrective action.
Corrective action may include:
- removal or correction of advertising;
- revised customer communications;
- additional Academy training;
- compliance training;
- security training;
- recertification;
- updated policy acknowledgment;
- customer transition;
- restricted sales privileges;
- increased monitoring; or
- other reasonable remedial measures.
12. Warning
Nuveda AI may issue a warning for less serious violations.
Warnings may be:
- advisory;
- formal;
- written;
- electronic; or
- recorded within the Advisor Center.
Nuveda AI is not required to issue a warning before taking action in cases involving serious misconduct.
13. Repeated Violations
Repeated violations may justify stronger disciplinary action even when an individual violation might not independently justify termination.
Nuveda AI may consider:
- number of prior violations;
- similarity of violations;
- prior warnings;
- corrective actions;
- harm caused;
- intent;
- customer impact;
- compliance risk; and
- whether the Advisor corrected prior conduct.
14. Termination for Inactivity
Termination solely for inactivity is governed primarily by the Active Advisor & Inactivity Policy.
Ordinary inactivity does not automatically constitute:
- fraud;
- dishonesty;
- misconduct;
- or statutory malfeasance.
The current inactivity framework uses:
- a potential courtesy reminder at approximately 60 days;
- a formal inactivity review at approximately 90 consecutive days without Qualifying Advisor Activity; and
- generally a 15-calendar-day cure period before termination solely for inactivity where appropriate.
15. Voluntary Resignation
An Advisor may resign from the Business Advisor Program.
Resignation should be submitted through an authorized Nuveda AI process.
Upon resignation:
- authorization to act as an active Business Advisor ends;
- new lead and opportunity eligibility ends;
- Advisor systems may be disabled;
- customer servicing responsibilities may be reassigned;
- Nuveda AI branding authorization ends;
- confidentiality obligations continue;
- customer-data obligations continue; and
- commissions will be administered according to the Business Advisor Agreement, Commission & Customer Attribution Policy, and applicable law.
16. Ordinary Business Termination
Subject to applicable law and the Business Advisor Agreement, Nuveda AI may terminate an Advisor relationship for legitimate non-disciplinary business reasons.
These may include:
- Program restructuring;
- discontinuation of a sales channel;
- changes in market strategy;
- reduction of Program scope;
- geographic restrictions;
- regulatory considerations;
- business reorganization;
- operational requirements;
- elimination of a particular Advisor classification; or
- other legitimate business reasons.
Ordinary business termination is not automatically termination for misconduct or malfeasance.
17. Termination for Material Breach
Nuveda AI may terminate an Advisor for a material breach of the Business Advisor Agreement or incorporated policies.
A material breach may include serious or repeated violation of obligations involving:
- confidentiality;
- customer data;
- security;
- customer communications;
- advertising;
- commissions;
- intellectual property;
- Program authority;
- identity;
- legal compliance; or
- other substantial contractual obligations.
Nuveda AI may provide an opportunity to cure where appropriate.
18. Termination Without Opportunity to Cure
Nuveda AI may terminate immediately where the nature of the conduct reasonably makes cure inappropriate.
Examples may include:
- intentional fraud;
- theft;
- fabricated customers;
- fabricated transactions;
- stolen payment information;
- intentional commission manipulation;
- serious customer-data misuse;
- deliberate identity fraud;
- bribery;
- corruption;
- intentional security compromise;
- serious threats;
- deliberate disclosure of highly confidential information;
- intentional unauthorized contractual commitments;
- intentional falsification of Company records;
- serious unlawful conduct related to the Program; or
- other conduct creating material immediate risk.
19. Fraud
Fraud may include:
- intentionally false customer information;
- fake customer accounts;
- forged documents;
- false payment information;
- fabricated leads;
- false commission claims;
- manipulation of customer attribution;
- fake sales activity;
- intentional misrepresentation of identity;
- collusion designed to generate improper commissions; or
- other deliberate deception for financial or Program advantage.
Fraud may result in immediate suspension or termination.
20. Commission Manipulation
Commission manipulation is prohibited.
Examples may include:
- fabricated transactions;
- circular payments;
- false referrals;
- duplicate-account manipulation;
- artificial self-referrals;
- fraudulent customer accounts;
- improper reassignment of referral codes;
- altering lead records;
- falsifying CRM activity;
- collusion with customers or other Advisors; or
- other conduct designed to obtain compensation not legitimately earned.
21. Customer-Data Misuse
Serious misuse of customer or prospect data may result in immediate termination.
Examples include:
- selling customer information;
- disclosing data without authorization;
- uploading customer information to unauthorized systems;
- retaining customer data for unrelated personal use;
- using customer information to divert business;
- obtaining customer information without authorization;
- sharing credentials;
- accessing customer information without legitimate business need; or
- knowingly violating applicable privacy or security requirements.
22. Security Violations
Serious security violations may include:
- sharing passwords;
- bypassing access controls;
- unauthorized system access;
- malicious code;
- deliberate credential compromise;
- unauthorized extraction of Company data;
- unauthorized API access;
- attempts to compromise Nuveda AI infrastructure;
- failure to report a known significant breach; or
- intentional violation of required security controls.
23. False or Misleading Representations
An Advisor may be suspended or terminated for materially false, deceptive, or unauthorized representations concerning:
- Nuveda AI products;
- pricing;
- capabilities;
- integrations;
- API functionality;
- MCP functionality;
- customer outcomes;
- security;
- privacy;
- SOC 2;
- GDPR;
- data residency;
- regulatory compliance;
- implementation timelines;
- future functionality;
- guarantees;
- earnings; or
- the Advisor's authority.
The seriousness of the violation may depend on whether the representation was intentional, repeated, corrected, and harmful.
24. Unauthorized Earnings Claims
An Advisor may not make unauthorized or unsubstantiated earnings claims concerning the Business Advisor Program.
Serious or repeated violations may result in suspension or termination.
This includes representations implying guaranteed:
- income;
- recurring income;
- passive income;
- financial independence;
- lifestyle outcomes;
- customer volume;
- commissions; or
- other financial results.
25. Unauthorized Contractual Commitments
An Advisor may not enter into agreements or make binding commitments on behalf of Nuveda AI unless expressly authorized.
Serious unauthorized commitments may result in immediate termination.
Examples include unauthorized:
- pricing commitments;
- refunds;
- discounts;
- warranties;
- implementation promises;
- service-level commitments;
- security commitments;
- data-residency commitments;
- contractual amendments; or
- procurement representations.
26. Harassment, Threats, and Abuse
Nuveda AI may suspend or terminate an Advisor for serious harassment, threats, abuse, intimidation, or unlawful discriminatory conduct directed toward:
- customers;
- prospects;
- employees;
- contractors;
- other Advisors;
- partners; or
- other persons involved with the Program.
27. Bribery and Corruption
Advisors may not offer, authorize, request, accept, or participate in unlawful bribes, kickbacks, or corrupt payments in connection with Nuveda AI business.
Violations may result in immediate termination and referral to appropriate authorities where required or appropriate.
28. Intellectual Property Misuse
Material misuse of Nuveda AI intellectual property may result in suspension or termination.
Examples include:
- unauthorized copying of confidential Academy materials;
- unauthorized commercial reuse of Company materials;
- creating deceptive Nuveda AI websites;
- registering confusingly similar domains;
- unauthorized licensing of Nuveda AI assets;
- impersonating Nuveda AI;
- misuse of certification credentials; or
- unauthorized use of trademarks after termination.
29. Diversion of Active Opportunities
An Advisor may not intentionally use confidential information or Program access to divert an active Nuveda AI opportunity to a competing provider.
Material intentional diversion may result in termination.
Nothing in this provision prohibits lawful competition that does not misuse confidential information, customer data, contractual rights, or Nuveda AI property.
30. Customer Harm
Nuveda AI may act immediately where Advisor conduct creates a material risk of harm to customers.
Customer protection may take priority over continued Advisor servicing responsibility.
Nuveda AI may reassign the customer or opportunity before an investigation is complete where reasonably necessary.
31. Reputational Harm
Nuveda AI may consider serious conduct materially affecting the reputation or integrity of the Business Advisor Program.
However, ordinary criticism, lawful disagreement, or good-faith reporting of concerns should not by itself constitute grounds for termination.
The conduct must have a legitimate connection to Nuveda AI's Program, customers, contractual obligations, or legal interests.
32. Reporting Legal or Compliance Concerns
Nothing in this Policy prohibits an Advisor from:
- reporting suspected unlawful conduct;
- contacting governmental authorities;
- participating in lawful investigations;
- exercising legally protected whistleblower rights; or
- exercising other rights that cannot lawfully be restricted.
Nuveda AI will not interpret lawful protected reporting itself as misconduct.
33. Malfeasance
The term “malfeasance” may have specific legal significance under applicable law, including North Carolina law governing certain sales-representative relationships.
Nuveda AI will not automatically classify every:
- breach;
- mistake;
- performance issue;
- inactivity event;
- policy violation; or
- termination for cause
as malfeasance.
Whether particular conduct constitutes malfeasance will depend upon the actual facts and applicable law.
This distinction is particularly important for determining post-termination commission obligations.
34. Termination Notice
Where appropriate, Nuveda AI may provide a termination notice identifying:
- the effective date;
- the general basis for termination;
- system-access consequences;
- customer transition requirements;
- branding requirements;
- confidentiality obligations;
- commission administration information; and
- any available review procedure.
Nuveda AI may limit details where necessary to protect:
- customers;
- confidential investigations;
- security;
- privacy;
- legal privilege;
- third-party rights; or
- law-enforcement activity.
35. Effective Date of Termination
Termination becomes effective on the date stated in the applicable termination notice or other authorized Nuveda AI record.
Nuveda AI should maintain a record of the termination effective date.
The effective date is important for commission administration.
36. Effect of Termination on Authority
Upon termination, the former Advisor must immediately stop:
- representing themselves as an active Nuveda AI Business Advisor;
- acting on behalf of Nuveda AI;
- presenting themselves as authorized to represent Nuveda AI;
- using active Advisor credentials;
- making sales commitments on behalf of Nuveda AI; and
- accessing restricted Nuveda AI systems.
37. Effect of Termination on Branding
Upon termination, authorization to use Business Advisor branding ends unless Nuveda AI expressly provides otherwise.
The former Advisor must stop using:
- active Business Advisor badges;
- Nuveda AI Advisor credentials;
- Nuveda AI email addresses or aliases;
- official sales materials where continued use is not authorized;
- branding suggesting active appointment; and
- other restricted Company marks.
Historical statements accurately indicating prior completion of Academy training may be subject to separate certification rules.
38. Effect of Termination on Systems
Nuveda AI may immediately disable or restrict access to:
- Advisor Center;
- CRM;
- internal documentation;
- prospect records;
- customer records;
- Company email;
- communication systems;
- commission-management systems;
- sales systems;
- confidential files;
- internal Academy materials; and
- other restricted resources.
39. Customer Transition
Upon suspension, resignation, or termination, Nuveda AI may reassign:
- customers;
- prospects;
- leads;
- open opportunities;
- onboarding responsibilities;
- technical discovery;
- FDE coordination; and
- customer support responsibilities.
Customer continuity may take priority over continued operational participation by the Advisor.
40. Return or Deletion of Information
Upon termination or upon Nuveda AI's request, the Advisor must reasonably:
- return confidential information;
- delete unauthorized copies;
- stop accessing customer information;
- remove restricted Nuveda AI materials;
- return Company-owned property; and
- certify deletion where reasonably requested.
Information required to be retained by law may be retained only to the extent legally necessary and must remain appropriately protected.
41. Commissions After Termination
Termination does not automatically erase a commission merely because the Advisor relationship has ended.
Commission treatment depends upon:
- whether the commission became earned;
- the reason for termination;
- the timing of the customer transaction;
- the Business Advisor Agreement;
- Commission & Customer Attribution Policy;
- legitimate adjustments; and
- applicable law.
For covered North Carolina sales-representative relationships terminated for reasons other than malfeasance, G.S. 66-191 requires commissions due under the contract to be paid within 30 days after termination and commissions that become due afterward to be paid within 15 days after they become due.
42. Future Unearned Commissions
Subject to applicable law, termination may end eligibility for future commissions that have not become earned.
No provision in this Policy creates a lifetime, perpetual, guaranteed, or irrevocable right to future commission.
The applicable earning rules remain those established in the Commission & Customer Attribution Policy.
43. Pending Commissions
Pending commissions at termination will be reviewed according to:
- attribution;
- transaction status;
- customer payment;
- fraud review;
- refund or chargeback status;
- reason for termination;
- applicable earning requirements; and
- applicable law.
Pending does not automatically mean earned or forfeited.
44. Termination for Inactivity and Commissions
Termination solely for inactivity is not automatically malfeasance.
Commissions following an inactivity termination will be administered under:
- the Business Advisor Agreement;
- Commission & Customer Attribution Policy;
- Active Advisor & Inactivity Policy; and
- applicable law.
45. Termination for Serious Misconduct and Commissions
Where termination involves serious misconduct, fraud, or conduct that may constitute malfeasance, Nuveda AI may apply the remedies permitted by:
- the Business Advisor Agreement;
- Commission & Customer Attribution Policy;
- this Policy;
- applicable law; and
- other available legal rights.
Nuveda AI may deny commissions arising directly from fraudulent, fabricated, or otherwise invalid transactions.
This does not create an automatic right to confiscate unrelated commissions that are legally due.
46. Offsets and Recovery
Where permitted by law, Nuveda AI may recover or offset amounts arising from:
- fraudulent commissions;
- overpayments;
- refunds;
- chargebacks;
- reversed transactions;
- duplicate payments;
- unauthorized transactions; or
- other legitimately recoverable amounts.
Any offset must have a reasonable contractual or legal basis.
47. Final Commission Accounting
Where appropriate, Nuveda AI may provide a final or post-termination commission statement showing:
- Earned Commissions;
- Pending Commissions;
- legitimate adjustments;
- amounts paid;
- amounts scheduled for payment;
- offsets; and
- disputed amounts.
Post-termination transactions that later become commissionable may require additional statements.
48. Termination Review
Nuveda AI may establish an internal review process for termination decisions.
A request for review should generally:
- identify the decision being challenged;
- explain the basis for the challenge; and
- include available supporting information.
Nuveda AI may designate an appropriate person to conduct the review.
49. Review Does Not Automatically Stay Termination
Submitting a review request does not automatically restore:
- Advisor status;
- system access;
- customer access;
- lead eligibility;
- branding authorization; or
- other privileges.
Nuveda AI may restore privileges where appropriate following review.
50. Correction of Erroneous Termination
If Nuveda AI determines that a termination or suspension was made in error, Nuveda AI may take reasonable corrective action.
That may include:
- restoring Advisor status;
- restoring access;
- correcting attribution;
- correcting commission records;
- restoring certification; or
- other appropriate measures.
51. Reapplication After Termination
A former Advisor may apply for future participation unless:
- Nuveda AI has designated the person permanently ineligible;
- applicable law prohibits participation;
- the underlying conduct makes reappointment inappropriate; or
- other legitimate Program requirements prevent reappointment.
Reapplication does not guarantee acceptance.
52. Permanent Ineligibility
Nuveda AI may designate an individual permanently ineligible for the Business Advisor Program following serious misconduct such as:
- intentional fraud;
- theft;
- serious customer-data misuse;
- deliberate system compromise;
- bribery;
- serious identity fraud;
- repeated fraudulent commission activity;
- serious violence or threats;
- intentional misuse of customer payment information; or
- other comparably serious conduct.
Such designation remains subject to applicable law.
53. Reactivation After Administrative Termination
A person terminated for ordinary inactivity or another non-disciplinary administrative reason may potentially reapply.
Nuveda AI may require:
- Academy refresher training;
- recertification;
- identity verification;
- compliance training;
- acceptance of current Program terms; and
- new Company approval.
Prior customer attribution is not automatically restored.
54. Recordkeeping
Nuveda AI may maintain records concerning:
- warnings;
- suspensions;
- investigations;
- violations;
- corrective actions;
- customer complaints;
- termination decisions;
- effective dates;
- Advisor responses;
- commission administration;
- system access;
- customer transitions; and
- review outcomes.
Records may be retained as reasonably necessary for legitimate business, compliance, security, dispute-resolution, and legal purposes.
55. Confidentiality After Termination
Termination does not end the former Advisor's obligations concerning:
- confidential information;
- trade secrets;
- customer data;
- security information;
- proprietary information; or
- other surviving confidentiality duties.
These obligations continue according to the Business Advisor Agreement and applicable law.
56. Customer Data After Termination
Former Advisors may not retain or use customer data for unrelated purposes after termination.
Where required, customer information must be returned, deleted, or otherwise handled according to Nuveda AI instructions and applicable law.
57. Intellectual Property After Termination
Termination does not transfer any ownership interest in Nuveda AI intellectual property.
The former Advisor may not continue using restricted Nuveda AI intellectual property except where expressly authorized or legally permitted.
58. No Retaliatory Termination
Nuveda AI will not knowingly use this Policy as a pretext to retaliate against an Advisor solely for exercising a legally protected right.
This includes lawful reporting of suspected illegal conduct to appropriate authorities.
59. No Termination to Evade Earned Commissions
Nuveda AI will not intentionally terminate an Advisor solely as a pretext to avoid paying commissions that have already become legally earned.
North Carolina law provides remedies in certain covered sales-representative relationships where commission obligations are not properly honored.
60. Company Discretion
Where this Policy grants Nuveda AI discretion, that discretion is intended to be exercised reasonably, in good faith, and subject to applicable law.
No discretion granted by this Policy authorizes Nuveda AI to violate a non-waivable statutory obligation.
61. Relationship to Other Program Documents
This Policy should be read together with:
- Nuveda AI Business Advisor Agreement;
- Commission & Customer Attribution Policy;
- Active Advisor & Inactivity Policy;
- Advisor Code of Conduct;
- Advertising, Social Media & Claims Policy;
- Customer Data & Security Policy;
- Lead Registration & Customer Ownership Policy; and
- Earnings & Opportunity Disclosure.
If this Policy conflicts with the Business Advisor Agreement concerning a material contractual provision, the Business Advisor Agreement controls unless a later validly accepted amendment expressly provides otherwise.
62. Policy Modifications
Nuveda AI may modify this Policy prospectively where reasonably necessary to address:
- legal requirements;
- Program changes;
- compliance requirements;
- security needs;
- business operations;
- customer needs; or
- other legitimate Program purposes.
Material changes affecting substantial contractual rights may require renewed electronic acceptance of the Business Advisor Agreement or an applicable amendment.
Nuveda AI will not retroactively rewrite a termination event solely to eliminate an otherwise legally earned commission.
63. No Separate Signature
This Policy does not require:
- a handwritten signature;
- a paper signature;
- a separate electronic signature;
- a separate checkbox; or
- separate acceptance.
It is incorporated into the Nuveda AI Business Advisor Agreement.
64. Electronic Acceptance
The Advisor accepts this Policy when the Advisor electronically accepts the Nuveda AI Business Advisor Agreement.
Nuveda AI may maintain records showing:
- Advisor identity;
- Advisor or user ID;
- Business Advisor Agreement version;
- this Policy version;
- date and time of acceptance;
- electronic acceptance event;
- identity-verification status;
- and other reasonable evidence of acceptance.
65. Electronic Acknowledgment
By electronically accepting the Nuveda AI Business Advisor Agreement, the Advisor acknowledges and agrees that:
- this Suspension & Termination Policy forms part of that Agreement;
- Nuveda AI may temporarily suspend Advisor privileges where reasonably necessary to investigate or prevent serious risk;
- suspension does not automatically mean that misconduct has been proven;
- Nuveda AI may require corrective action for appropriate violations;
- serious misconduct may result in immediate termination without an opportunity to cure;
- fraud, customer-data misuse, commission manipulation, serious security violations, bribery, deliberate identity fraud, and other serious misconduct may justify immediate termination;
- ordinary inactivity is governed separately and is not automatically malfeasance;
- resignation or termination ends the Advisor's authority to represent Nuveda AI;
- system access, branding privileges, customer servicing responsibilities, and new opportunity eligibility may end upon termination;
- termination may affect eligibility for future commissions that have not become earned;
- termination does not automatically eliminate commissions already legally earned;
- Pending Commissions remain subject to applicable earning requirements;
- Nuveda AI may recover or offset fraudulent or erroneous payments where legally permitted;
- confidentiality, customer-data, intellectual-property, and other surviving obligations continue after termination; and
- applicable law controls where it provides rights or obligations that cannot be waived.
No separate signature or separate electronic acceptance of this Policy is required.
The Advisor's electronic acceptance of the Nuveda AI Business Advisor Agreement constitutes acceptance of this Policy.
