Commission & Customer Attribution Policy

Effective September 9, 2026 · Last updated September 9, 2026 · Version 2026-09-09

This Nuveda AI Commission & Customer Attribution Policy (“Commission Policy”) governs commission eligibility, customer attribution, commission calculation, payment, adjustments, disputes, and related matters under the Nuveda AI Business Advisor Program.

This Commission Policy forms part of and is incorporated into the Nuveda AI Business Advisor Agreement (“Business Advisor Agreement”).

No separate signature or separate electronic acceptance of this Commission Policy is required. An Advisor accepts this Commission Policy by electronically accepting the Business Advisor Agreement.

1. Purpose

The purpose of this Commission Policy is to establish clear and consistent rules governing:

  • the 30% recurring commission structure;
  • eligible customer accounts;
  • commissionable revenue;
  • customer attribution;
  • lead registration;
  • duplicate leads;
  • existing customers;
  • Company-generated opportunities;
  • Forward-Deployed Engineer involvement;
  • commission splits;
  • upgrades and downgrades;
  • refunds;
  • chargebacks;
  • failed payments;
  • credits and discounts;
  • cancellations;
  • commission payment;
  • Active Advisor requirements;
  • termination;
  • commission disputes; and
  • other matters affecting Advisor compensation.

This Policy is intended to establish clear compensation and attribution rules before disputes occur.

2. Eligibility to Earn Commissions

An individual becomes eligible to earn Business Advisor commissions only after:

  • completing required Academy qualification;
  • satisfying applicable identity-verification requirements;
  • receiving Nuveda AI approval as a Business Advisor;
  • electronically accepting the Business Advisor Agreement;
  • satisfying applicable onboarding requirements;
  • maintaining an Advisor account in good standing;
  • satisfying applicable customer-attribution requirements; and
  • satisfying all conditions applicable to the particular commission.

Academy participation or qualification alone does not create commission eligibility.

3. Commission Rate

Subject to the Business Advisor Agreement and this Policy, eligible Nuveda AI Business Advisors may earn:

30% recurring commission on eligible customer accounts.

The 30% rate applies only to Eligible Commissionable Revenue as defined by this Policy.

It does not mean that 30% is payable on every dollar received by Nuveda AI.

4. Meaning of Recurring Commission

“Recurring Commission” means that an eligible Advisor may receive commission on qualifying recurring customer payments associated with an eligible attributed customer account while applicable commission conditions remain satisfied.

“Recurring” does not mean:

  • lifetime;
  • perpetual;
  • permanent;
  • irrevocable;
  • vested forever;
  • guaranteed; or
  • unconditional.

Future recurring commission eligibility remains subject to the Business Advisor Agreement, this Policy, Active Advisor requirements, termination provisions, valid customer attribution, customer payment, applicable adjustments, and applicable law.

5. Eligible Customer Account

An “Eligible Customer Account” is a customer account that:

  • is properly attributable to the Advisor;
  • has been accepted by Nuveda AI;
  • is not excluded under this Policy;
  • generates Eligible Commissionable Revenue; and
  • otherwise satisfies applicable Program requirements.

An Advisor does not acquire commission rights merely by identifying the name of a company or individual.

6. Eligible Commissionable Revenue

“Eligible Commissionable Revenue” generally means qualifying revenue actually received and cleared by Nuveda AI from an eligible attributed customer account after applicable exclusions and adjustments.

Eligible Commissionable Revenue may include qualifying payments for:

  • Nuveda AI subscriptions;
  • approved recurring plans;
  • eligible platform services;
  • eligible business or enterprise plans;
  • approved paid customer credit purchases;
  • approved recurring customer services; and
  • other products or services expressly designated by Nuveda AI as commissionable.

Nuveda AI may designate particular products, programs, services, promotions, fees, or revenue categories as non-commissionable.

7. Non-Commissionable Amounts

Unless Nuveda AI expressly provides otherwise, commissions are not calculated on:

  • sales tax;
  • VAT;
  • GST;
  • governmental fees;
  • payment-processing surcharges;
  • refunded amounts;
  • chargebacks;
  • reversed payments;
  • failed payments;
  • fraudulent transactions;
  • promotional credits;
  • free credits;
  • free services;
  • complimentary services;
  • internal Nuveda AI accounts;
  • employee or contractor accounts;
  • test accounts;
  • amounts never collected;
  • amounts written off;
  • amounts returned to customers;
  • credits issued against future invoices; or
  • other amounts reasonably classified as non-revenue or non-commissionable.

8. When a Commission Becomes Earned

A commission becomes earned only when all applicable earning conditions have been satisfied.

Unless otherwise required by applicable law or expressly established by Nuveda AI, those conditions include:

  • the Advisor was eligible for the commission;
  • the customer was validly attributed to the Advisor;
  • the customer entered into an eligible transaction;
  • Nuveda AI accepted the customer and transaction;
  • Nuveda AI actually received cleared customer funds;
  • the transaction was legitimate and not fraudulent;
  • applicable adjustments have been accounted for; and
  • all other applicable commission requirements have been satisfied.

A commission is not earned merely because:

  • a lead was registered;
  • a meeting occurred;
  • a demonstration occurred;
  • a proposal was delivered;
  • a customer verbally agreed;
  • an invoice was generated;
  • a contract was sent;
  • a customer created an account;
  • an opportunity was entered into the CRM; or
  • an unsuccessful or uncollected payment was attempted.

9. Pending Commissions

A commission may appear as “Pending” before it becomes earned.

Pending commissions remain subject to applicable conditions, including:

  • payment clearance;
  • billing corrections;
  • customer refunds;
  • fraud review;
  • attribution review;
  • chargebacks;
  • cancellations;
  • discounts;
  • credits;
  • duplicate-account review; and
  • other legitimate adjustments.

A Pending Commission is not necessarily an Earned Commission.

10. Customer Attribution

Customer attribution determines which Advisor, if any, receives commission credit for a customer.

Attribution is based upon legitimate and documented Advisor involvement rather than mere possession of a prospect's name.

Nuveda AI may consider:

  • lead-registration records;
  • timestamps;
  • CRM activity;
  • customer communications;
  • meetings;
  • discovery activity;
  • referrals;
  • proposals;
  • demonstrations;
  • customer confirmation;
  • existing Company relationships;
  • previous Advisor involvement;
  • FDE involvement;
  • involvement of other authorized sales resources; and
  • other reliable evidence.

Nuveda AI may make reasonable operational attribution determinations based upon available records, subject to applicable contractual and legal rights.

11. First Valid Registration

Where multiple Advisors claim the same prospect, Nuveda AI may give priority to the first valid lead registration.

First registration alone does not guarantee attribution.

A registration may be rejected if it is:

  • incomplete;
  • speculative;
  • fabricated;
  • duplicative;
  • submitted without meaningful prospect information;
  • submitted merely to reserve a company name;
  • connected to an existing Nuveda AI opportunity;
  • connected to an existing customer; or
  • otherwise invalid.

12. Meaningful Involvement

Nuveda AI may require evidence of meaningful Advisor involvement before attribution is confirmed.

Meaningful involvement may include:

  • identifying a legitimate prospect;
  • establishing contact;
  • conducting discovery;
  • making a qualified introduction;
  • scheduling an approved sales meeting;
  • participating in the sales process;
  • documenting customer needs;
  • facilitating technical review;
  • coordinating with an FDE; or
  • materially contributing to conversion.

Simply submitting a company or individual name without meaningful involvement may not be sufficient.

13. Existing Customers

An Advisor generally will not receive new-customer attribution for an account that was already a Nuveda AI customer before the Advisor's involvement.

Nuveda AI may authorize commission eligibility for a material expansion involving:

  • a new division;
  • a new enterprise deployment;
  • a materially different service;
  • an approved upsell;
  • an approved cross-sell; or
  • another documented expansion opportunity.

Such attribution must be approved by Nuveda AI.

14. Existing Pipeline Opportunities

A prospect may already be part of Nuveda AI's sales pipeline even if the prospect is not yet a paying customer.

If the prospect was already being actively pursued by Nuveda AI, another Advisor, an employee, partner, or another authorized sales resource, the prospect may not qualify for full new-Advisor attribution.

Nuveda AI may:

  • preserve existing attribution;
  • deny new attribution;
  • establish shared attribution;
  • establish an approved commission split; or
  • otherwise allocate the opportunity according to documented involvement.

15. Duplicate Leads

When multiple Advisors submit the same prospect, Nuveda AI may review:

  • submission date and time;
  • quality of registration;
  • previous communications;
  • existing relationships;
  • documented introductions;
  • discovery activity;
  • customer confirmation;
  • sales activity; and
  • material contribution.

Nuveda AI will not recognize fabricated or bad-faith registrations intended primarily to block another Advisor.

16. Dormant Leads

An attributed lead may be considered dormant if meaningful progress does not occur within the applicable period established by Nuveda AI.

Dormancy may result in:

  • notice to the Advisor;
  • release of the opportunity;
  • reassignment;
  • shared attribution; or
  • other reasonable action.

Detailed lead-dormancy rules may be established in the Lead Registration & Customer Ownership Policy.

Lead dormancy is separate from Advisor inactivity.

17. Company-Generated Leads

Nuveda AI may generate leads through advertising, inbound marketing, website inquiries, partnerships, events, corporate relationships, direct sales, enterprise outreach, or other Company activities.

Company-generated leads do not automatically belong to any Business Advisor.

Nuveda AI may assign Company-generated leads to Advisors at its discretion.

Any special commission arrangement applicable to an assigned Company-generated lead should be communicated through an authorized Nuveda AI process.

18. Customer Self-Service Purchases

A customer who independently purchases Nuveda AI without valid Advisor attribution is generally not automatically commissionable to an Advisor.

An Advisor claiming involvement may be required to provide supporting evidence.

Nuveda AI may consider documented sales activity and customer confirmation.

Nuveda AI may use referral links, customer codes, Advisor IDs, CRM identifiers, or similar tracking mechanisms.

These mechanisms may support attribution but are not necessarily conclusive where there is evidence of:

  • fraud;
  • incorrect use;
  • duplicate attribution;
  • manipulation;
  • an existing customer relationship;
  • technical error; or
  • conflicting documentation.

20. Self-Referrals

Unless expressly approved by Nuveda AI, an Advisor may not generate commissions through artificial or abusive self-referral practices.

Prohibited conduct may include:

  • creating multiple customer accounts for oneself;
  • routing personal purchases through controlled entities solely to generate commissions;
  • creating fabricated business entities;
  • circular payments;
  • reimbursement arrangements designed primarily to trigger commissions; or
  • other transactions lacking legitimate commercial purpose.

Legitimate purchases involving an Advisor-owned business may be reviewed and may require advance approval for commission eligibility.

Nuveda AI may review transactions involving:

  • family members;
  • companies owned or controlled by the Advisor;
  • companies controlled by close associates;
  • Advisor employees;
  • controlled entities; or
  • other related parties.

Related-party transactions are not automatically prohibited.

Nuveda AI may require disclosure and may deny commission where a transaction was created primarily to manufacture commission.

22. Forward-Deployed Engineer Involvement

Nuveda AI may involve a Forward-Deployed Engineer (“FDE”) or another technical resource in a customer opportunity.

FDE involvement may include:

  • technical discovery;
  • systems analysis;
  • integration planning;
  • API requirements;
  • MCP requirements;
  • enterprise architecture;
  • security review;
  • data requirements;
  • workflow design;
  • deployment planning;
  • implementation strategy; or
  • other advanced customer needs.

23. Commission Splits Involving an FDE

Where an FDE is assigned to an opportunity and Nuveda AI designates the opportunity as shared, the applicable commission may be divided between the Business Advisor and FDE according to the split approved for that opportunity.

The split should be documented through an authorized Nuveda AI system or communication.

Unless Nuveda AI expressly provides otherwise, participation by multiple individuals does not automatically multiply the applicable commission pool.

For example, an opportunity subject to a 30% commission pool does not automatically create a separate 30% commission for each participating individual.

24. Other Commission Splits

Nuveda AI may authorize commission splits where:

  • multiple Advisors materially contributed;
  • an Account Executive materially participated;
  • an FDE materially participated;
  • another authorized sales resource materially contributed;
  • territory or account transitions occur;
  • customer relationships overlap; or
  • other legitimate circumstances justify shared attribution.

The applicable split should be documented by Nuveda AI.

25. Upgrades

If an eligible attributed customer upgrades to a higher qualifying subscription or service, the Advisor may remain eligible for applicable commission on qualifying upgrade revenue, subject to continued attribution, Active Advisor requirements, the Business Advisor Agreement, this Policy, and applicable law.

26. Downgrades

If an attributed customer downgrades, commission is generally calculated on the lower amount of Eligible Commissionable Revenue actually received.

Nuveda AI does not guarantee a minimum commission based on the customer's previous plan.

27. Customer Add-Ons

Additional products or services purchased by an attributed customer may be commissionable if Nuveda AI designates those products or services as eligible.

A non-commissionable product does not become commissionable merely because an eligible attributed customer purchases it.

28. Enterprise and Negotiated Contracts

Enterprise transactions may involve negotiated pricing, implementation fees, professional services, custom development, credits, discounts, third-party costs, usage-based pricing, FDE resources, or other unique commercial terms.

Nuveda AI may identify the commissionable portion of an enterprise agreement based upon the actual commercial structure of the transaction.

The Advisor should not assume that 30% applies to every component of a custom enterprise agreement.

29. Discounts

Where an authorized discount reduces Eligible Commissionable Revenue received by Nuveda AI, commission is generally calculated using the actual qualifying amount received after the discount.

Advisors may not issue unauthorized discounts.

30. Promotional and Free Credits

Free or promotional credits issued by Nuveda AI are generally not commissionable unless expressly designated otherwise.

Paid customer credit purchases may be commissionable where Nuveda AI designates those purchases as eligible.

31. Refunds

If customer revenue is refunded before commission payment, the refunded amount is excluded from commissionable revenue.

If a commission was previously paid on revenue that is later refunded, Nuveda AI may recover or offset the corresponding commission where permitted by applicable law.

32. Partial Refunds

If a customer receives a partial refund, commission may be recalculated based upon the net Eligible Commissionable Revenue retained by Nuveda AI.

33. Chargebacks

Revenue reversed through a chargeback is not Eligible Commissionable Revenue to the extent the payment is reversed.

If Nuveda AI later successfully recovers the payment, commission eligibility may be restored where appropriate.

34. Failed or Declined Payments

No commission is earned on a payment that:

  • fails;
  • is declined;
  • is reversed before clearance;
  • is never collected; or
  • remains delinquent.

If the customer subsequently makes a successful qualifying payment, commission may become eligible at that time.

35. Customer Cancellation

If an eligible customer cancels future service, no commission is earned on future customer payments that are never made.

Commissions already legally earned remain subject to the Business Advisor Agreement, this Policy, legitimate adjustments, and applicable law.

36. Subscription Pauses

If customer billing is paused, commission may also pause because Nuveda AI is not receiving Eligible Commissionable Revenue.

Commission eligibility may resume when eligible billing resumes if all other requirements remain satisfied.

37. Customer Nonpayment

Nuveda AI generally does not owe commission on customer revenue that Nuveda AI never receives unless applicable law or an express written agreement requires otherwise.

38. Currency Conversion

Where customer payments are made in a foreign currency, Nuveda AI may calculate commission using:

  • the amount actually settled to Nuveda AI;
  • payment-processor conversion data;
  • Nuveda AI accounting records; or
  • another commercially reasonable conversion methodology.

39. Taxes and Withholdings

Advisor commissions may be subject to tax reporting, legally required withholding, payment-provider requirements, or other legally required deductions.

The Advisor is responsible for the Advisor's own tax obligations except where Nuveda AI is legally responsible for withholding or payment.

40. Commission Payment Schedule

Nuveda AI will establish and communicate the applicable commission payment schedule.

Payments may be made monthly or according to another recurring schedule established by Nuveda AI.

Commission payment may be reasonably delayed where necessary to resolve:

  • credible fraud concerns;
  • customer disputes;
  • attribution disputes;
  • payment reversals;
  • identity verification;
  • incomplete tax information;
  • payment-provider issues; or
  • other legitimate administrative issues.

Nuveda AI will not intentionally delay an Earned Commission merely to avoid payment.

41. Minimum Payout Threshold

Nuveda AI may establish a reasonable minimum payout threshold.

Amounts below the threshold may carry forward until the applicable threshold is reached.

A minimum payout threshold does not eliminate an otherwise Earned Commission.

42. Payment Method

Nuveda AI may pay commissions through one or more approved payment methods.

The Advisor is responsible for providing accurate payment information and completing required payment-provider onboarding.

Nuveda AI is not responsible for delays resulting from inaccurate or incomplete Advisor payment information.

43. Commission Statements

Nuveda AI may provide electronic commission statements through the Advisor Center or another authorized system.

Statements may include:

  • attributed customers;
  • eligible revenue;
  • commission rate;
  • commission amount;
  • adjustments;
  • refunds;
  • offsets;
  • payment status; and
  • payment date.

44. Correction of Errors

Nuveda AI may correct legitimate accounting, attribution, billing, or payment errors.

If Nuveda AI underpays an Advisor, Nuveda AI will make an appropriate correction.

If Nuveda AI overpays an Advisor, Nuveda AI may recover or offset the overpayment where permitted by law.

45. Active Advisor Status

Continued eligibility for future recurring commissions may be subject to maintaining Active Advisor Status as established by the Active Advisor & Inactivity Policy.

Active status may include requirements relating to:

  • current certification;
  • required compliance training;
  • Advisor Center participation;
  • reasonable responsiveness;
  • legitimate Advisor activity;
  • account security; and
  • other reasonable Program requirements.

46. 90-Day Inactivity Framework

Nuveda AI's current framework treats 90 consecutive days without Qualifying Advisor Activity as potential inactivity.

Lack of a completed sale alone does not necessarily constitute inactivity.

Qualifying Advisor Activity may include:

  • legitimate prospecting;
  • documented prospect communications;
  • active opportunity development;
  • discovery meetings;
  • approved follow-up;
  • FDE coordination;
  • authorized customer-related activity;
  • required Academy or compliance training;
  • qualifying Advisor Center activity; or
  • other legitimate Business Advisor activity recognized by Nuveda AI.

The detailed definition, notice process, exceptions, cure period, reactivation process, and consequences are governed by the Active Advisor & Inactivity Policy.

47. Inactive Status

If an Advisor becomes Inactive, Nuveda AI may, subject to the Active Advisor & Inactivity Policy:

  • stop assigning new leads;
  • restrict new lead registration;
  • pause new opportunity attribution;
  • reassign dormant opportunities;
  • require recertification;
  • restrict portions of Advisor Center; or
  • initiate termination procedures.

The effect of Inactive Status on commissions is governed by the Business Advisor Agreement, this Policy, the Active Advisor & Inactivity Policy, and applicable law.

48. Termination and Future Commissions

Termination may end eligibility for future commissions that have not become earned, subject to:

  • the Business Advisor Agreement;
  • the reason for termination;
  • the timing of the underlying transaction;
  • this Policy;
  • other applicable incorporated policies; and
  • applicable law.

Nothing in this Policy creates a lifetime, perpetual, irrevocable, or unconditional right to future commissions.

Nothing in this Policy is intended to eliminate an Earned Commission or another commission that applicable law requires Nuveda AI to pay.

49. Earned Commissions After Termination

If a commission became legally earned before termination, termination does not automatically eliminate the Advisor's right to that commission where applicable law requires payment.

Nuveda AI will handle such commissions according to the Business Advisor Agreement, this Policy, legitimate adjustments, and applicable law.

50. Pending Transactions After Termination

A transaction that remains pending at termination may be reviewed according to:

  • valid customer attribution;
  • the Advisor's material contribution;
  • whether the transaction ultimately satisfies the applicable earning requirements;
  • the reason for termination;
  • the Business Advisor Agreement;
  • this Policy; and
  • applicable law.

Pending does not automatically mean Earned.

51. Fraud and Commission Manipulation

Nuveda AI may temporarily suspend affected commission payments while investigating credible evidence of:

  • fabricated customers;
  • fake accounts;
  • forged customer information;
  • self-referral abuse;
  • circular transactions;
  • payment manipulation;
  • unauthorized discounts;
  • duplicate-account manipulation;
  • stolen payment methods;
  • falsified lead activity;
  • identity fraud;
  • collusion; or
  • other commission-related misconduct.

An investigative hold does not itself constitute a final determination of misconduct.

Nuveda AI may deny commissions arising from fraudulent or invalid transactions.

52. Clawbacks and Offsets

Where permitted by applicable law, Nuveda AI may offset future commissions for:

  • customer refunds;
  • chargebacks;
  • reversed payments;
  • duplicate payments;
  • accounting errors;
  • commission overpayments;
  • fraudulent transactions; or
  • other amounts properly recoverable under this Policy.

Nuveda AI will not use an offset without a legitimate basis to avoid paying unrelated commissions that are legally due.

53. Commission Disputes

An Advisor who believes a commission calculation or attribution decision is incorrect should submit a written dispute to Nuveda AI.

The dispute should identify:

  • the customer or transaction;
  • the disputed amount or attribution;
  • the basis of the dispute; and
  • available supporting documentation.

Nuveda AI may establish reasonable administrative procedures and deadlines for disputes.

No internal procedure eliminates statutory rights that cannot lawfully be waived.

54. Attribution Disputes Between Advisors

Where multiple Advisors claim the same customer, Nuveda AI may review:

  • CRM records;
  • timestamps;
  • customer statements;
  • communications;
  • meeting records;
  • lead submissions;
  • discovery activity;
  • sales contributions; and
  • other relevant evidence.

Nuveda AI may determine:

  • sole attribution;
  • shared attribution;
  • no Advisor attribution;
  • an adjusted commission split; or
  • another reasonable resolution consistent with applicable agreements.

55. Customer Request to Change Advisor

A customer may request to work with another Advisor or Nuveda AI representative.

Nuveda AI may accommodate that request where reasonably appropriate.

Changing the person servicing the customer does not automatically eliminate commissions already earned.

Future attribution or commission eligibility may be reviewed according to the circumstances and applicable policies.

56. Advisor Abandonment of an Opportunity

An Advisor who abandons an active opportunity or customer relationship may lose future servicing responsibility.

Nuveda AI may reassign the opportunity to protect the prospective customer, customer, or Company.

Commission consequences depend upon applicable attribution rules, the status of the transaction, and whether a commission has become earned.

57. Customer Ownership

Customer accounts and customer contracts are maintained through Nuveda AI.

An Advisor does not acquire ownership of a customer merely because the Advisor introduced, developed, or serviced the account.

The Advisor's rights are limited to the contractual attribution and commission rights expressly established under the Business Advisor Agreement and applicable incorporated policies.

58. Transfer of Attribution

An Advisor may not sell, assign, transfer, pledge, gift, or otherwise convey customer attribution or commission rights without Nuveda AI's prior written authorization, except where applicable law provides otherwise.

59. Death or Incapacity

If an Advisor dies or becomes legally incapacitated, Nuveda AI will determine the proper disposition of commissions according to:

  • whether commissions were legally earned;
  • the Business Advisor Agreement;
  • this Policy;
  • appropriate estate or legal-representative documentation; and
  • applicable law.

Nothing in this provision creates a perpetual commission right.

60. Program Modifications

Nuveda AI may modify this Policy prospectively where reasonably necessary.

Changes may concern:

  • commission rates;
  • eligibility requirements;
  • payment schedules;
  • attribution rules;
  • eligible products;
  • commissionable revenue;
  • Active Advisor requirements; or
  • related Program terms.

Nuveda AI will not retroactively reduce a commission that had already become legally earned before the effective date of a modification.

Material changes may require renewed electronic acceptance of the Business Advisor Agreement or applicable amendment.

61. No Oral Modifications

No Business Advisor, salesperson, contractor, employee, or other individual may orally modify Nuveda AI commission terms unless Nuveda AI expressly authorizes the modification through an approved written or electronic process.

Informal conversations, messages, chats, calls, or statements do not override the Business Advisor Agreement or this Policy unless Nuveda AI expressly confirms the change through an authorized contractual process.

62. Company Records

Nuveda AI may rely upon commercially reasonable Company records in administering commissions, including:

  • CRM records;
  • payment-processor records;
  • accounting systems;
  • billing systems;
  • Advisor Center records;
  • customer contracts;
  • communications;
  • customer confirmations;
  • lead-registration records; and
  • system logs.

Where records conflict, Nuveda AI may investigate and make reasonable corrections.

63. No Guarantee of Earnings

The 30% commission rate does not guarantee:

  • customers;
  • customer value;
  • sales;
  • revenue;
  • commission;
  • recurring payments;
  • customer retention;
  • profitability; or
  • any particular level of income.

Advisor results depend upon actual qualifying customer activity and satisfaction of applicable commission requirements.

64. Relationship to the Business Advisor Agreement

This Commission Policy forms part of the Nuveda AI Business Advisor Agreement.

If this Policy conflicts with the Business Advisor Agreement concerning a material contractual provision, the Business Advisor Agreement controls unless a later amendment expressly states otherwise and has been validly accepted.

65. Electronic Acceptance

This Commission Policy does not require a separate signature, separate checkbox, or separate electronic acceptance.

The Advisor accepts this Policy as part of the Business Advisor Agreement.

Nuveda AI should maintain an electronic record of the Advisor's acceptance of the Business Advisor Agreement, including as reasonably appropriate:

  • Advisor or user ID;
  • agreement version;
  • date and time of acceptance;
  • acceptance event;
  • identity-verification status;
  • IP address or device information where appropriate; and
  • the versions of incorporated policies in effect at the time of acceptance.

66. Electronic Acknowledgment

By electronically accepting the Nuveda AI Business Advisor Agreement, the Advisor acknowledges and agrees that:

  • this Commission & Customer Attribution Policy forms part of the Business Advisor Agreement;
  • the applicable commission rate is 30% recurring commission on eligible customer accounts;
  • recurring does not mean lifetime, perpetual, irrevocable, or guaranteed;
  • commissions are calculated only on Eligible Commissionable Revenue;
  • registering or referring a lead does not automatically create a commission;
  • a commission becomes earned only when applicable earning requirements have been satisfied;
  • refunds, chargebacks, reversals, and other legitimate adjustments may affect commission calculations;
  • customer-attribution requirements apply;
  • duplicate-lead and existing-customer rules apply;
  • approved commission splits may apply where multiple authorized sales resources participate;
  • FDE involvement may result in an approved commission split;
  • Active Advisor requirements may affect continued eligibility for future commissions;
  • inactivity may affect continued participation in the Business Advisor Program;
  • termination may affect eligibility for future commissions that have not become earned;
  • commissions already legally earned will be handled in accordance with the Business Advisor Agreement, this Policy, and applicable law; and
  • Nuveda AI does not guarantee customers, sales, commissions, revenue, or income.

No separate signature or separate electronic acceptance of this Policy is required.

The Advisor's electronic acceptance of the Nuveda AI Business Advisor Agreement constitutes acceptance of this Policy and the other policies expressly incorporated into that Agreement.
