These Nuveda AI Advisor Academy Terms of Service (“Academy Terms”) govern enrollment in, access to, and use of the Nuveda AI Advisor Academy (“Academy”), operated by Nuveda AI LLC (“Nuveda AI,” “Company,” “we,” “us,” or “our”).
By completing the required electronic acceptance process for the Academy, you (“Participant,” “you,” or “your”) acknowledge that you have read, understood, and agree to be bound by these Academy Terms and the Academy policies expressly incorporated into them.
The Nuveda AI Advisor Academy Certification & Qualification Policy is expressly incorporated into and forms part of these Academy Terms.
The Nuveda AI Advisor Academy Privacy & Data Notice describes the privacy and data-handling practices applicable to Academy participation and is provided in connection with these Academy Terms.
If you do not agree to these Academy Terms, you must not enroll in or use the Academy.
1. Purpose of the Academy
The Nuveda AI Advisor Academy is an educational and qualification program designed to provide Participants with information and training concerning Nuveda AI, its platform, products and services, business use cases, sales principles, customer discovery, responsible representations, compliance requirements, and the responsibilities associated with potentially becoming a Nuveda AI Business Advisor.
Participation in the Academy is educational and preparatory in nature.
Enrollment in, participation in, or completion of the Academy does not, by itself:
- create an employment relationship;
- create an independent contractor relationship;
- create an agency, partnership, joint venture, franchise, fiduciary, or other business relationship;
- appoint or authorize a Participant as a Nuveda AI Business Advisor;
- authorize a Participant to represent, negotiate for, contract for, or otherwise bind Nuveda AI;
- guarantee approval or appointment as a Business Advisor;
- guarantee leads, prospects, customers, sales, commissions, compensation, or income; or
- grant any ownership interest in Nuveda AI or its customers, technology, intellectual property, platform, or business.
Appointment as a Nuveda AI Business Advisor is a separate process governed by the Nuveda AI Business Advisor Agreement and applicable Business Advisor Program policies.
2. The Academy Is Free
Enrollment in and completion of the Nuveda AI Advisor Academy are provided at no charge.
Nuveda AI does not require Participants to pay an enrollment fee, tuition, training fee, certification fee, assessment fee, starter-kit fee, participation fee, or other required payment to enroll in or complete the Academy.
Participants are not required to purchase a Nuveda AI subscription, credits, products, services, leads, marketing materials, equipment, inventory, or other items as a condition of completing the Academy.
Any optional expenses independently incurred by a Participant are the Participant's responsibility unless Nuveda AI expressly agrees otherwise in writing.
3. Eligibility
To participate in the Academy, you must:
- be at least eighteen (18) years old;
- have the legal capacity to enter into a binding agreement;
- provide accurate and complete registration information;
- maintain the security of your Academy account;
- comply with these Academy Terms and applicable Academy policies; and
- comply with applicable laws and regulations.
Nuveda AI may establish additional eligibility, geographic, technical, compliance, identity-verification, or qualification requirements when reasonably necessary for operation of the Academy or Business Advisor Program.
Participation in the Academy does not guarantee eligibility for the Business Advisor Program.
4. Account Registration and Security
Participants may be required to create an individual Academy account.
You agree to provide accurate, current, and complete information and to keep that information reasonably current.
Your account is personal to you.
You may not:
- share your login credentials;
- allow another person to complete training or assessments on your behalf;
- access another Participant's account;
- impersonate another person;
- create accounts using false information;
- circumvent Academy access controls; or
- use automated means to improperly complete Academy requirements.
You are responsible for maintaining the confidentiality of your credentials and for activity occurring through your account to the extent permitted by law.
You must promptly notify Nuveda AI of suspected unauthorized access or compromise of your account.
5. Academy Content
Academy content may include videos, audio, written materials, presentations, assessments, quizzes, guides, policies, sales materials, demonstrations, examples, templates, graphics, software interfaces, documentation, and other educational resources.
Academy content is provided for training and qualification purposes.
Nuveda AI may add, remove, revise, replace, reorganize, or update Academy content as the Nuveda AI platform, applicable laws, Company policies, technologies, products, services, sales practices, or business requirements evolve.
Participants are responsible for completing the then-current requirements applicable to their qualification status.
6. Intellectual Property
Unless expressly stated otherwise, the Academy and its materials are owned by or licensed to Nuveda AI and are protected by applicable intellectual property laws.
This includes, as applicable:
- training videos;
- written curriculum;
- assessments and examination materials;
- graphics;
- presentations;
- sales methodologies;
- documentation;
- software demonstrations;
- trademarks;
- logos;
- certification materials;
- Academy designs;
- proprietary processes;
- confidential materials; and
- other Academy content.
Subject to these Academy Terms, Nuveda AI grants you a limited, personal, revocable, non-exclusive, non-transferable, and non-sublicensable right to access Academy materials solely for your own authorized participation in the Academy.
No ownership rights are transferred to you.
7. Prohibited Use of Academy Materials
Except where Nuveda AI expressly authorizes otherwise in writing, Participants may not:
- reproduce Academy materials;
- publicly distribute Academy materials;
- sell or resell Academy content;
- sublicense Academy content;
- publish restricted Academy materials online;
- share assessment questions or answers;
- create unauthorized derivative training programs;
- remove proprietary notices;
- misrepresent Academy materials as their own;
- use Academy materials to train competing commercial systems where prohibited by applicable law;
- scrape, systematically extract, or harvest Academy content;
- attempt to obtain unauthorized access to Academy systems; or
- use Academy content for unlawful or competitive misuse.
Nuveda AI may authorize Business Advisors to use specific approved sales or marketing materials under the separate Business Advisor Program.
Such authorization does not extend to other Academy content unless expressly stated.
8. Confidential and Non-Public Information
During Academy participation, you may receive information that Nuveda AI reasonably considers confidential or non-public.
This may include information regarding:
- internal processes;
- product development;
- future functionality;
- pricing strategies;
- sales processes;
- technical architecture;
- business strategies;
- customer information;
- security practices;
- internal documentation; and
- other non-public business information.
You agree not to disclose or misuse confidential information except as authorized by Nuveda AI or required by law.
Information that is publicly available through no violation of these Academy Terms is not confidential solely because it is discussed in Academy materials.
These confidentiality obligations survive completion, suspension, withdrawal, or termination from the Academy.
9. Assessments and Qualification
Nuveda AI may require Participants to complete specified modules, assessments, examinations, acknowledgments, compliance training, identity-verification requirements, or other qualification requirements.
The Nuveda AI Advisor Academy Certification & Qualification Policy governs the detailed requirements relating to:
- required training;
- passing scores;
- assessments;
- retesting;
- qualification;
- certification;
- identity verification;
- assessment integrity;
- recertification;
- suspension or revocation of qualification; and
- related Academy requirements.
Participants must personally complete required assessments unless Nuveda AI expressly provides otherwise.
Cheating, unauthorized assistance, impersonation, manipulation of assessments, sharing restricted examination materials, falsification of completion records, or circumvention of identity-verification requirements may result in disqualification, suspension, or termination.
10. Completion Does Not Guarantee Appointment
Successful completion of Academy requirements does not automatically appoint a Participant as a Nuveda AI Business Advisor.
Nuveda AI may require additional steps before appointment, including:
- eligibility verification;
- identity verification;
- compliance requirements;
- onboarding requirements;
- Nuveda AI approval;
- and separate electronic acceptance of the Nuveda AI Business Advisor Agreement.
Nuveda AI reserves the right, subject to applicable law, to approve or decline Business Advisor applications.
A Participant may not represent themselves as an authorized Nuveda AI Business Advisor until Nuveda AI has approved the Participant and the applicable Business Advisor Agreement has become effective.
11. No Guarantee of Earnings or Business Results
Nuveda AI makes no guarantee regarding a Participant's future earnings, commissions, sales, customers, leads, business opportunities, financial results, or success.
Participation in or completion of the Academy does not guarantee:
- employment;
- appointment as a Business Advisor;
- leads;
- customers;
- contracts;
- sales;
- commissions;
- recurring commissions;
- revenue;
- profit; or
- any particular level of income.
Any compensation potentially available to an approved Business Advisor is governed exclusively by the applicable Nuveda AI Business Advisor Agreement and incorporated Business Advisor Program policies.
12. Business Advisor Commissions Are Not Created by These Terms
These Academy Terms do not create a right to commissions.
Approved Business Advisors may become eligible for commissions only after satisfying applicable Business Advisor Program requirements and electronically accepting the applicable Business Advisor Agreement.
Nuveda AI's Business Advisor Program currently provides for a 30% recurring commission on eligible customer accounts, subject to the definitions, eligibility requirements, attribution rules, payment provisions, exclusions, adjustments, active-status requirements, termination provisions, and other conditions contained in the Business Advisor Agreement and incorporated Program policies.
Nothing in these Academy Terms independently guarantees continued commission eligibility.
13. No Authority to Represent or Bind Nuveda AI
Academy Participants have no authority, merely by participating in the Academy, to act for or bind Nuveda AI.
Unless and until separately authorized as a Business Advisor, a Participant may not:
- represent themselves as an authorized Nuveda AI representative;
- negotiate agreements on behalf of Nuveda AI;
- accept contractual obligations for Nuveda AI;
- modify Nuveda AI pricing;
- offer unauthorized discounts;
- make guarantees regarding Nuveda AI products or services;
- make commitments concerning future features or availability;
- make unauthorized security or compliance representations;
- collect money on behalf of Nuveda AI; or
- otherwise create the impression that the Participant possesses authority they have not been granted.
14. Accuracy of Representations
Participants must not knowingly make false, misleading, deceptive, or unsubstantiated statements concerning:
- Nuveda AI;
- the Academy;
- the Business Advisor Program;
- potential earnings;
- commission opportunities;
- Nuveda AI products or capabilities;
- pricing;
- customers;
- security;
- privacy;
- regulatory compliance;
- certifications;
- integrations;
- future functionality; or
- business opportunities.
Participants who later become Business Advisors will be subject to additional advertising, communications, and claims requirements.
15. Professional Conduct
Participants must conduct themselves professionally when interacting with Nuveda AI personnel, contractors, other Participants, customers, prospects, or other individuals through Academy-related activities.
Prohibited conduct includes fraud, threats, harassment, unlawful discrimination, intentional deception, impersonation, unauthorized solicitation through Academy systems, malicious interference with Academy operations, and other conduct that materially threatens the integrity, security, or legitimate operation of the Academy.
16. Technology and Security
Participants may not:
- attempt unauthorized access to Academy systems;
- bypass technical restrictions;
- introduce malware or malicious code;
- probe systems for vulnerabilities without authorization;
- interfere with Academy availability;
- collect information about other Participants without authorization;
- compromise another user's credentials;
- misuse APIs, automated systems, or technical interfaces; or
- engage in activity reasonably likely to threaten Nuveda AI systems or users.
Suspected security incidents may result in immediate suspension while Nuveda AI investigates.
17. Artificial Intelligence and Automated Tools
Participants may use lawful productivity tools to assist their learning where permitted.
However, Participants remain responsible for personally satisfying qualification requirements.
Nuveda AI may prohibit the use of AI systems or automated tools during specific examinations, assessments, identity-verification procedures, or other activities intended to measure the Participant's individual knowledge or identity.
Using AI or automation to circumvent qualification requirements may constitute misconduct and result in disqualification.
18. Privacy
Nuveda AI may collect and process information necessary to operate the Academy, administer accounts, deliver training, measure completion, conduct assessments, evaluate eligibility, conduct identity verification, prevent fraud, maintain security, communicate with Participants, administer certification, and operate the Business Advisor qualification process.
The Nuveda AI Advisor Academy Privacy & Data Notice describes the privacy and data-handling practices applicable to Academy participation.
Where identity verification is required, Nuveda AI may use Didit as an authorized third-party identity-verification provider.
19. Third-Party Services
The Academy may rely on or link to third-party technologies, platforms, websites, software, or services.
Third-party services may be governed by their own terms and privacy policies.
To the extent permitted by law, Nuveda AI is not responsible for third-party services outside Nuveda AI's reasonable control.
20. Suspension and Termination of Academy Access
Nuveda AI may suspend, restrict, or terminate Academy access where Nuveda AI reasonably determines that a Participant:
- violated these Academy Terms;
- violated an incorporated Academy policy;
- engaged in fraud or deception;
- cheated or manipulated qualification requirements;
- misused Academy materials;
- compromised account or system security;
- infringed intellectual property rights;
- improperly disclosed confidential information;
- materially misrepresented Nuveda AI;
- engaged in unlawful conduct connected to the Academy;
- materially interfered with Academy operations; or
- otherwise presents a material legal, security, compliance, reputational, or operational risk to the Academy or Nuveda AI.
Where appropriate, Nuveda AI may provide notice or an opportunity to cure.
Nuveda AI may act immediately where reasonably necessary to address fraud, security threats, legal violations, serious misconduct, or material risks.
Termination from the Academy does not automatically determine rights that may have independently arisen under a separate Business Advisor Agreement.
21. Participant Withdrawal
Participants may stop participating in the Academy at any time.
Withdrawal from the Academy does not entitle the Participant to appointment as a Business Advisor or create any compensation obligation.
Sections intended by their nature to survive termination—including intellectual property, confidentiality, disclaimers, limitations of liability, dispute provisions, and accrued rights or obligations—survive withdrawal or termination as applicable.
22. Modification or Discontinuation of the Academy
Nuveda AI may modify, suspend, replace, or discontinue portions of the Academy as reasonably necessary for business, operational, legal, security, technical, or compliance purposes.
Nuveda AI may update curriculum and qualification requirements as the Nuveda AI platform evolves.
Where a material change affects existing Participants, Nuveda AI will provide notice where required by applicable law or these Academy Terms.
23. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE ACADEMY AND ACADEMY MATERIALS ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
NUVEDA AI DISCLAIMS WARRANTIES THAT MAY LEGALLY BE DISCLAIMED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
NUVEDA AI DOES NOT WARRANT THAT THE ACADEMY WILL BE UNINTERRUPTED, ERROR-FREE, OR AVAILABLE AT ALL TIMES.
Nothing in these Academy Terms excludes warranties or rights that cannot lawfully be excluded.
24. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NUVEDA AI AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO PARTICIPATION IN THE ACADEMY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NUVEDA AI'S AGGREGATE LIABILITY ARISING OUT OF THESE ACADEMY TERMS OR PARTICIPATION IN THE FREE ACADEMY WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).
These limitations do not apply where prohibited by applicable law.
25. Indemnification
To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Nuveda AI and its affiliates, officers, directors, employees, contractors, and agents from third-party claims, damages, liabilities, judgments, penalties, costs, and reasonable attorneys' fees arising from or relating to:
- your material violation of these Academy Terms;
- your material violation of an incorporated Academy policy;
- your unlawful conduct;
- your infringement or misappropriation of another person's rights;
- your unauthorized representation that you act for Nuveda AI; or
- your fraudulent or intentionally misleading conduct.
Nuveda AI will provide reasonable notice of covered claims where practicable and retains the right to control the defense or settlement of such claims.
26. Governing Law
These Academy Terms are governed by the laws of the State of North Carolina, without regard to conflict-of-law principles, except where applicable law requires otherwise.
27. Dispute Venue
Unless otherwise required by applicable law or agreed by the parties in writing, any judicial proceeding arising directly from these Academy Terms shall be brought in a court of competent jurisdiction located in Mecklenburg County, North Carolina, and the parties consent to personal jurisdiction and venue there.
Nothing in this section prevents either party from seeking appropriate emergency or injunctive relief where legally available.
28. Electronic Communications
You consent to receive Academy-related agreements, notices, disclosures, policies, and communications electronically where permitted by law.
Nuveda AI may deliver such communications through:
- email;
- Academy account notices;
- website notices;
- electronic document delivery; or
- another reasonable electronic method.
29. Changes to These Terms
Nuveda AI may update these Academy Terms from time to time.
The “Last Updated” date will identify the current version.
For material changes, Nuveda AI will provide notice or request renewed electronic acceptance where required by applicable law or where Nuveda AI determines renewed acceptance is appropriate.
Changes will not retroactively eliminate rights that cannot lawfully be modified.
30. Severability
If any provision of these Academy Terms is determined to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent legally permissible or severed as appropriate, and the remaining provisions will remain in effect.
31. No Waiver
Failure by Nuveda AI to enforce a provision of these Academy Terms on one occasion does not waive its right to enforce that provision or another provision later.
32. Assignment
Participants may not assign or transfer their rights or obligations under these Academy Terms without Nuveda AI's prior written consent.
Nuveda AI may assign these Academy Terms in connection with a merger, acquisition, corporate reorganization, sale of assets, or other lawful transfer of the Academy or relevant business operations, subject to applicable law.
33. Entire Agreement Regarding Academy Participation
These Academy Terms together with the Nuveda AI Advisor Academy Certification & Qualification Policy constitute the contractual agreement between the Participant and Nuveda AI concerning Academy participation.
The Nuveda AI Advisor Academy Privacy & Data Notice describes applicable privacy and data-handling practices but does not independently create Business Advisor appointment or commission rights.
These Academy Terms do not replace the separate Business Advisor Agreement entered into after qualification and approval.
If an approved Business Advisor Agreement expressly conflicts with these Academy Terms regarding the Business Advisor commercial relationship, the Business Advisor Agreement controls with respect to that relationship.

35. Electronic Acceptance
A required affirmative electronic acceptance is required for these Academy Terms.
No handwritten signature or paper execution is required.
Before enrollment or continued Academy participation is permitted, Nuveda AI may require the Participant to affirmatively select an unchecked checkbox, acceptance button, or comparable electronic control indicating agreement to these Academy Terms.
By completing the designated electronic acceptance process, the Participant:
- electronically accepts these Academy Terms;
- electronically accepts the Nuveda AI Advisor Academy Certification & Qualification Policy incorporated into these Terms;
- acknowledges that the Nuveda AI Advisor Academy Privacy & Data Notice has been made available;
- intends to be legally bound by the applicable Academy Terms and incorporated Policy; and
- consents to the use of electronic records to evidence acceptance.
Nuveda AI may maintain electronic records identifying:
- Participant or user ID;
- name;
- email address;
- Academy Terms version;
- incorporated Certification & Qualification Policy version;
- Privacy & Data Notice version made available;
- date and time of acceptance;
- electronic acceptance event;
- account information;
- IP address or device information where appropriate; and
- other reasonable evidence associated with acceptance.
36. Electronic Acknowledgment
By electronically accepting the Nuveda AI Advisor Academy Terms of Service, the Participant acknowledges and agrees that:
- enrollment in the Nuveda AI Advisor Academy is 100% free;
- completion of the Academy is 100% free;
- Nuveda AI does not require payment of an enrollment, tuition, training, certification, assessment, starter-kit, or participation fee to complete the Academy;
- no purchase of a Nuveda AI subscription, credits, products, or services is required merely to complete the Academy;
- Academy participation does not constitute employment by Nuveda AI;
- enrollment does not guarantee successful completion or qualification;
- completion of training does not automatically guarantee certification or qualification;
- certification or qualification does not automatically guarantee appointment as a Nuveda AI Business Advisor;
- Academy participation does not guarantee leads, customers, sales, commissions, income, employment, or any particular financial result;
- appointment as a Business Advisor, if offered, requires satisfaction of applicable eligibility and onboarding requirements and separate electronic acceptance of the Nuveda AI Business Advisor Agreement;
- Business Advisor commission rights do not arise merely from enrolling in or completing the Academy;
- the Participant must provide accurate information during Academy participation and qualification;
- Nuveda AI may enforce legitimate Academy qualification, conduct, integrity, identity-verification, security, and eligibility requirements;
- the Nuveda AI Advisor Academy Certification & Qualification Policy forms part of these Academy Terms;
- the Nuveda AI Advisor Academy Privacy & Data Notice has been made available to the Participant;
- the Participant has been provided an opportunity to review these Terms and incorporated Policy before acceptance; and
- electronic acceptance is intended to have the same legal effect as execution of a written agreement to the extent permitted by applicable law.
Required Academy Acceptance
